1. Agreement to Terms

DrMariket provides web development and e-commerce solutions, including but not limited to custom online store development, responsive design, e-commerce SEO, performance optimization, and maintenance & support services. The specific services to be provided will be outlined in a separate service agreement or statement of work between you and DrMariket.

4.2 Service Changes

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice to you. This includes the right to impose limits on certain features or restrict access to parts or all of the services. We will not be liable to you or any third party for any modification, suspension, or discontinuation of our services.

4.3 Service Standards

We strive to provide our services with reasonable care and skill. However, we do not guarantee that our services will always be error-free, secure, or uninterrupted.

5. Payments and Billing

5.1 Fees

The fees for our services will be as set out in the applicable service agreement or statement of work. All fees are in Euro unless otherwise specified and are exclusive of applicable taxes.

5.2 Payment Terms

Payment terms will be specified in your service agreement or statement of work. Unless otherwise agreed, payment for our services is due according to the schedule provided in that document. We reserve the right to suspend services if payment is not received according to the agreed schedule.

6. Intellectual Property

6.1 Our Intellectual Property

The Site and its original content, features, and functionality are owned by DrMariket and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site without our prior written consent.

6.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes.

6.3 Client Materials

You retain ownership of all intellectual property rights in any content, materials, or data you provide to us in connection with our services ("Client Materials"). You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display the Client Materials solely for the purpose of providing our services to you.

6.4 Deliverables

Upon full payment of all applicable fees, we will assign to you all rights, title, and interest in and to the deliverables specified in your service agreement, except for (a) any third-party materials and (b) any of our proprietary tools, templates, or other materials that we created before or independently of our services to you ("DrMariket Materials"). DrMariket Materials remain our exclusive property, and we grant you a non-exclusive, perpetual, worldwide license to use the DrMariket Materials solely as incorporated into the deliverables.

7. User Content

7.1 User Content Definition

Our Services may allow you to post, upload, publish, submit, or transmit content. By making available any content on or through our Services, you grant us a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license to use, copy, modify, create derivative works based upon, distribute, publicly display, publicly perform, and distribute your content in connection with operating and providing our Services.

7.2 Content Restrictions

You may not post, upload, publish, submit, or transmit any content that:

• Violates or infringes someone else's rights of publicity, privacy, copyright, trademark, or other intellectual property right
• Is unlawful, defamatory, libelous, harassing, threatening, invasive of privacy, fraudulent, or misrepresentative
• Contains viruses, spyware, malware, or other harmful code
• Contains unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation
• Impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity

7.3 Monitoring Content

We have the right, but not the obligation, to monitor, edit, or remove content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

8. Limitation of Liability

To the maximum extent permitted by law, in no event shall DrMariket, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use our Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims arising from or related to the Services exceed the amount paid by you, if any, for accessing or using our Services during the twelve (12) months preceding the event giving rise to the liability, or €1,000, whichever is greater.

9. Disclaimer

Your use of the Site and our services is at your sole risk. The Site and services are provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty that the services will meet your requirements, be available on an uninterrupted, timely, secure, or error-free basis, or be accurate, reliable, free of viruses or other harmful code, complete, legal, or safe.

We do not guarantee that the results that may be obtained from the use of the services will be accurate or reliable or that any errors in the services will be corrected.

You agree to defend, indemnify, and hold harmless DrMariket, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Services, including, but not limited to, any use of the Site's content other than as expressly authorized in these Terms
• Your User Content
• Your violation of any third party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right

11. Governing Law and Jurisdiction

These Terms and your use of the Site and Services shall be governed by and construed in accordance with the laws of the United Kingdom, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the courts of the United Kingdom. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
